We do not accept any liability for typographical or transient data errors.
Any changes or modifications to these conditions requires a written agreement signed by both parties.
Controlling principles are listed in the Payment Methods
and Shipping and Handling sections (see below).
We strictly
adhere to the customer-oriented common business practice codes
(German: "AGB"), which provide a correct, and a very fair basis of trading
(regardless of the language the customer speaks).
Jurisdiction for all legal affairs is Berlin, Germany.
However, we strive to resolve all problems to the customer's advantage,
so that legal recourse is not necessary.
For international orders the only logistically feasible method of
payment is by credit card. We're sorry, but that's the way it is. Note that your
credit card will not be billed until we have shipped the software ordered.
For customers who absolutely cannot pay by credit card, we do allow (albeit reluctantly)
prepayment by direct wire transfer to our
bank account (for bookkeeping purposes you must
e-mail or fax us a copy of your wire-transfer receipt). Please note that all fees and
service charges (including exchange rate charges) are the customer's responsibility.
The standard method of payment for customers in Germany is direct
debiting from the customer's bank account. Unfortunately, we are not
able to provide this method for international (English) orders. Customers who have
a bank account with a German financial institution are requested to use
our German-language order form.
Software shipments of Papyrus OFFICE (English version) are by Internet e-mail
and download only.
These internet shipments incur no additional shipping or handling fees. This applies
both to new licenses, as well as upgrades, free updates, and additional licenses.
After careful consideration, we have decided not to offer
Papyrus OFFICE (English) on CD. In addition to postage costs and the logistic hassle,
shipping Papyrus (English) on CD could lead to problems with customs fees,
which we prefer to avoid. The vast majority of our international
customers have access to the internet, which is a much faster and simpler
way to deliver Papyrus software.
When you place an order, you will receive an e-mail with a license key
file, a personal serial number, and detailed instructions for downloading the
Papyrus installation archive (about 5 MB) from our internet server.
If you were to "burn" the archive contents onto a CD-R,
the result would be functionally equivalent to the CD's we produce
(at extra cost) for the German version of Papyrus.
We provide free repeat shipments (via internet) at any time on request (in case
you should lose or accidentally delete your original files). Requests for repeat e-mail
shipments are normally processed very quickly (within a few days at most, but often within a few hours),
and are guaranteed to be available for at least two years from the purchase date.
We are not required to collect tax on purchases placed from outside the EU:
All prices listed in US-Dollars ($) are tax-free, and apply
exclusively to all residents outside the European Union.
The only reason that we need your postal address is to prove that German VAT does not
apply to your purchase, otherwise we may be legally required to collect tax separately.
All prices listed in Euros (€) include 19% "Value Added Tax"
("VAT", German: "Mehrwertsteuer"), and apply to all purchases
made by European Union residents. We are legally bound
to collect this tax on all EU purchases (you may not live in Germany,
but we are located here, and those are the rules that count).
Our prices in Euros (€) apply to residents of the following countries:

These countries do not use Euros as currency,
but are part of the European Union, so residents are subject to German VAT, and must order
(and pay) in Euros; this also includes: New EU-members as of 1-May-2004,
and New EU-members as of 1-Jan-2007.
Residents of all other (non-EU) countries should place orders (and pay)
according to the prices in US-Dollars ($).
This includes (among others) Australia, Canada, India, New Zealand, South Africa,
Switzerland, and the USA.
You must be a registered owner of a previous Papyrus version to
qualify for an upgrade price to Papyrus Version 12.5.
The upgrade price depends on the version level you now have, but not the language.
You may upgrade to Papyrus OFFICE Version 12.5(English) from either a previous
English or a German version of Papyrus.
Papyrus OFFICE (English) upgrades are always shipped complete, and include the full
complement of online-help and English-language example files (you do not have to have
the old version installed to install the upgrade).
As specified by the German legal code (§3 FernAbsGes), the customer has a 14-day
right of refusal for all business agreements conducted electronically, including
purchases of software licenses, of course. To invoke this right for software that
has already been shipped, you must delete all copies of the software from
any disks, CDs, tapes, or other data carriers (including any backup archives) in your
possession, and send us a formal declaration (preferably notarized) that all such
copies of the software have been permanently destroyed.
The Recommendation rewards, and
Crossgrade or
Student discounts (as described in the
Conditions)
are exclusive, in other words, only one discount
may be applied to any one purchase. In addition, you must provide proof of entitlement
with your order. We can not honor retroactive requests for discounts.
- To qualify for a student discount, you must provide proof of
current registration at an accredited school or university with your order.
Fax or e-mail us a current copy of your registration or transcript, and let us know
in your order how and when it was sent. We cannot honor retroactive requests for
discounts after the order was placed.
- The Papyrus student version is identical to the full version: the
only difference is that the license is not freely transferrable
(a Papyrus student license can be sold or otherwise transferred only
to another student).
- The student discount is valid only for new purchases of a full (non-discounted)
Papyrus license, and may not be combined with any other discount
(upgrade, cross-grade, additional or network license). In other words,
you may use only one discount for each purchase.
Cross-grade (from third-party software to Papyrus OFFICE)
- Have you tried the Papyrus Demo, and decided that you want to get rid of your old software?
We understand completely: just send it to us!
- Send us the original CD 1 (or Disk 1) of your former word processing software
(if you have a license card, send it too), and we will allow you a $20 discount on
the price of your new Papyrus OFFICE.
- Note: your old program must be for the same operating system as the new Papyrus
license you wish to purchase.
- Your license to use your old software expires when you send it in: you may no longer
transfer, sell, or purchase upgrades for the old program; the license and all rights
thereto become property of R.O.M. logicware GmbH. You really must want to get rid
of your former program permanently.
- For legal and licensing reasons we can only accept commercially sold word processing
and desktop publishing packages for cross-grades (no freeware or shareware).
- For similar reasons, we (must) reserve the (theoretical) right to
require you to send us the rest of the software package (in addition to CD/Disk 1).
(Whether or not we will ever do that should be fairly obvious.)
- Only one discount may be used for any one order: a cross-grade
may not be combined a student discount or upgrade price.
There's nothing more aggravating than to purchase software, and then to
discover that a newer version is about to be released. However, we offer a
price guarantee to protect you from this "worst case scenario".
We are continually developing Papyrus, so sooner or later we have
to set a date, and release a new version level (which in any case is to your advantage).
Here's how the price guarantee works:
- If you purchase a Papyrus license or
an upgrade, and a new version level is released within
1 month, your upgrade to the new version is free
(shipment via e-mail only).
- If the new version is released within 2 months after your purchase,
the upgrade price to the new version is a flat $25 (or 25 €).
